Shipping policy
These general terms and conditions apply upon delivery of products. Specific regulations
between the parties takes precedence over these general terms and conditions.
Copter, hereinafter referred to as “The Seller”, shall deliver products, below referred to as “The product”. The Buyer within this agreement is referred to as “The Buyer” and the agreed price to be paid is referred to as ”Agreed Price”.
Delivery and delivery delay
1. Order
An order must be submitted in writing and confirmed by Copter to be valid. A placed order can be changed or canceled within 12 hours of its original order submission, even though confirmed by Copter. Thereafter, the order is binding to the buyer.
2. Delivery terms
- The product is shipped within 7 days from The Seller’s confirmation of the order.
- Copter can give notice of any delay or adjusted delivery time on a specific SKU (stock keeping unit).
- Shipping costs are not included in the order value. Additional costs for eventual pallets and packaging will apply.
3. Cancellation due to delay
If delivery has not taken place within agreed delivery time (see point 2) The Buyer is entitled to notify a last date for delivery. This adjusted delivery date may be set for a date at least 7 days from such notification. If The Seller is unable to deliver within this date The Buyer owns the right to cancel the order. At such cancellation, The Buyer is entitled to a fine of 10% of the net Agreed Price of The Products that the cancellation refers to which constitutes an exclusive penalty for non-delivery.
4. Minimum order quantity
The Seller’s minimum levels for deliveries are 25 units per model/sku (stock keeping unit), meaning that if an order is less than 25 units of a certain model/sku, an additional fee of SEK 200 applies. This fee is paid per sku and order line and is accumulating, meaning that the fee can be paid several times for the same order if the minimum levels are not met.
Payment and late payment
5. Price
Prices are stated by The Seller’s standard price list with possible application of quantity discount or customer discount.
6. Time for payment
Unless otherwise agreed, the buyer must make payment no later than 20 days after
delivery date.
7. Interest on arrears
If The Buyer is in arrears, The Seller is entitled to default interest on the amount due. The interest is accumulated from the date of payment, applicable under the Act on default interest.
8. Buyer’s obligation to receive
The Buyer is obliged to receive The Product on the agreed day. If The Buyer does not receive The Product on the agreed date, The Buyer must still pay as if delivered. The Seller shall ensure that The Product is stored at The Buyer’s risk and expense. The Seller has the right to terminate the order if The Buyer takes an unreasonably long time to obtain The Product.
Product quality and The Seller’s liability of fault
9. Fault liability
The Seller is not responsible for errors or damage caused by The Buyer, e.g. incorrect handling.
10. The importance of guarantees etc.
The Seller’s responsibility for warranties and special obligations follow from the provisions of this Agreement, unless otherwise specified is expressly stated in the warranty, or the special commitment.
11. Responsibility period
The Seller is only responsible for errors existing at the time of delivery and which appears within one year from the date of delivery.
12. Buyer’s complaint
The Buyer must report complaints to The Seller within reasonable time, latest within two weeks from the moment the error appeared or from the fact that The Buyer should have discovered the fault. The complaint must contain a description of the defect. The Buyer loses the right to submit the complaint if The Buyer waits too long.
13. Unfounded complaint
The Buyer is obliged to compensate The Seller for the work and costs arising in connection with the complaint of a Product if it shows that there was no fault that The Seller could have been responsible for.
14. Seller’s Remedy
The Seller’s commitment in the event of a fault is to perform one re-delivery of The Product that has been defective. No other penalties such as indemnity or cancellation can be made applicable by The Buyer provided that The Seller within a reasonable time undertakes re-delivery.
Limitation of liability, product liability and disputes
15. Limitation of liability
The Seller has no responsibility in addition to the points above and The Buyer is not entitled to other sanctions due to The Seller’s breach of contract than what is stated in the points above. This disclaimer does not apply if The Seller committed gross negligence.
16. Product liability
The seller is not responsible for damage that is defective in The Product causes on third party
property or person. If the seller becomes liable for damages against third parties on due to property or personal injury, shall the buyer keep the seller indemnified. This limitation does not apply if the seller is guilty of gross negligence.
17. Exemption from liability for delivery delay (force majeure)
Both parties are exempt from penalty due to failure to fulfill certain obligations under this Agreement on omission that has its basis in a circumstance of the kind listed below (”liberating circumstance”) and the circumstance prevents, complicates or delays its fulfillment. As liberating circumstances shall be considered among other things; government action or omission, new or amended legislation, conflict in the labor market, lack of raw material in the relevant market, blockade, fire, flood or accident of greater extent. Mentioned above circumstances constitute grounds for exemption only if a party should not reasonably have anticipated their impact on the agreement fulfillment when the agreement was concluded. If there is ground of liberation the delivery time is extended by as long as it is reasonably needed taking the circumstances into account. The Seller is entitled to an extension of delivery time even if the reason for the delay occurred after the end of the originally agreed delivery time. Each party has the right to terminate the fulfillment of the agreement if the agreement is delayed due to a ground of exemption for more than six months.
18. Applicable Laws and Disputes
Swedish law shall be applied to these terms. Any dispute shall be settled by a general court with Örebro District Court as the first instance.
